Terms and Conditions

Sponsor:  The sponsor of the promotion is Meraki LLC (“Meraki”), 500 Terry A. Francois Blvd., San Francisco, CA 94158.

Nomination by Partners:  Each Meraki partner located in the US or Canada may provide Meraki with the names of up to five customers that are tax-exempt non-profit organizations in order to nominate those customers to receive five MR26 wireless access points with 3-year licenses (an “AP Donation“).  The approximate value of the AP Donation is $7,000.

Proposals should include the nominee’s website address, number of fulltime employees and volunteers and a description of why the nominee would benefit from the AP Donation.  Proposals must be submitted to the Meraki-giving Partner Submission Form between November 1, 2015 and November 30, 2015 (the “Nomination Period”).

Selection of Recipients:  Meraki, in its sole discretion, will select a total of up to 50 nominees (the “Recipients“) to receive AP Donations.  Selection criteria will include:

  1. General needs of the non-profit organization;
  2. How the non-profit organization benefits from the cloud-managed nature of the APs; and
  3. The balance of Recipients across partners and geographies.

Meraki will use commercially reasonable efforts to notify the partners of its selections and ship the AP Donations directly to the Recipients within 90 days after the close of the Nomination Period.   Prior to receiving the AP Donation, each Recipient will be required to (i) certify to Meraki that the receipt of the AP Donation by Recipient is permitted by applicable federal, state and local laws, and (ii) agree that Meraki may use Recipient’s name, description and information about the AP Donation for marketing purposes in any media, without notice or additional compensation (the “Donation Conditions”).  Meraki may also require that Recipients provide a current Form 990 or other evidence of tax-exempt non-profit status.

An AP Donation may be forfeited if a selected nominee:  (i) cannot be reached; (ii) fails to satisfy the Donation Conditions; or (iii) cannot accept or receive an AP Donation for any reason. In such case, an alternate Recipient may, in Meraki’s sole discretion, be selected from among the remaining eligible entries (using the criteria described above).

Additional Terms and Conditions:  NO PURCHASE OR PAYMENT OF ANY MONEY IS NECESSARY TO PARTICIPATE. A PURCHASE WILL NOT IMPROVE THE CHANCES OF SELECTION. US libraries and K-12 schools are not eligible to receive AP Donations. Taxes, if any, are the sole responsibility of the Recipient, and the Recipient may be issued a Form 1099 or other tax documentation for the approximate retail value of the AP Donation.  All costs and expenses not specifically listed above as part of the AP Donation, including costs of internet connectivity, are solely the Recipient’s responsibility.  The Recipient’s use of the AP Donation will be subject to Meraki’s End Customer Agreement available at https://meraki.cisco.com/support/#policies:eca.  Meraki reserves the right to cancel or modify the 2015 Meraki AP Donations program and these terms and conditions, for any reason, at any time and without any liability.
